Terms of Service

These Terms of Service ("Terms") govern your access to and use of BayManager, a shop management software-as-a-service platform operated by BayManager ("we," "us," or "our"), accessible at baymanager.net. By creating an account or using BayManager, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

BayManager provides cloud-based software tools for truck and heavy-duty vehicle repair shops, including work order management, customer records, invoicing, estimate generation, staff management, inventory tracking, and related features (collectively, the "Service"). We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

2. Accounts and Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your business to use BayManager. When you register, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Each account is tied to a single shop. If you operate multiple locations, a separate subscription is required for each. You may not share your account credentials with third parties outside your shop's staff.

3. Free Trial

We offer a 30-day free trial for new accounts. No credit card is required to start the trial. At the end of your trial period, your account will require a paid subscription to continue accessing the Service. We reserve the right to modify or end the free trial offer at any time.

4. Subscriptions and Payment

4.1 Subscription Plans

BayManager is offered on a subscription basis. Pricing, billing intervals (monthly or annual), and included features are described on our Pricing page. We may change our pricing at any time; price changes will be communicated at least 30 days in advance and will take effect at your next billing cycle renewal.

4.2 Billing

By providing payment information, you authorize us (or our payment processor) to charge you on a recurring basis for the applicable subscription fee. All fees are stated in US dollars and are exclusive of applicable taxes. You are responsible for any taxes arising from your use of the Service.

4.3 Failed Payments

If a payment fails, we will attempt to notify you and may retry the charge. If payment remains outstanding, we may suspend or terminate your access to the Service until the balance is resolved.

5. Cancellation

You may cancel your subscription at any time from your account settings or by contacting us at support@baymanager.net. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date. After cancellation, your data may be retained for up to 90 days before permanent deletion, giving you time to export your records.

We do not offer refunds for partial billing periods. Please review our Refund Policy for complete details.

6. Acceptable Use

You agree to use BayManager only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service to store, transmit, or process data in violation of applicable law, including data privacy laws
  • Attempt to gain unauthorized access to any part of the Service or any other user's account
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use the Service to transmit spam, malicious code, or any unsolicited communications
  • Resell, sublicense, or commercially redistribute access to the Service without our written consent
  • Interfere with or disrupt the integrity or performance of the Service or the data contained therein
  • Use the Service to engage in any fraudulent or deceptive business practices

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

7. Your Data

You retain ownership of all data, content, and information you submit to BayManager ("Your Data"). You grant us a limited, non-exclusive license to host, store, and process Your Data solely to provide the Service. We do not sell Your Data to third parties. Please review our Privacy Policy for a complete description of how we handle your information.

You are solely responsible for the accuracy, legality, and appropriateness of Your Data. We are not responsible for any errors or loss of data resulting from actions you take within the Service.

8. Intellectual Property

BayManager and all associated software, logos, trademarks, and content are the exclusive property of BayManager and are protected by applicable intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or branding. All rights not expressly granted are reserved.

9. Third-Party Services

BayManager integrates with third-party services including Supabase (database and authentication), Resend (email delivery), and Stripe (payment processing). Your use of these integrations is also governed by their respective terms of service. We are not responsible for the practices or policies of third-party providers.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We make no warranty that the Service will meet your specific business requirements or that results obtained from using the Service will be accurate or reliable.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BAYMANAGER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO BAYMANAGER IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless BayManager and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) Your Data.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service that cannot be resolved informally shall be submitted to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction where necessary to protect intellectual property rights or confidential information.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, notify you by email or via a notice in the Service. Your continued use of BayManager after changes take effect constitutes your acceptance of the updated Terms.

15. Termination

Either party may terminate the relationship governed by these Terms at any time. We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 7–13) will survive.

16. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and BayManager with respect to the Service and supersede all prior agreements, representations, or understandings. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
